Terms of Service

1. Agreement to terms

These Terms of Service ("Terms") are a binding agreement between you and Kotlerman Ventures LLC ("Northquill", "we") governing your use of the Northquill website and Service. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

Northquill converts presentation files you provide into narrated video, including text-to-speech narration and rendering. We may update, add, or remove features over time.

3. Accounts

You must provide accurate information, keep your credentials secure, and are responsible for activity under your account. You must be the age of majority in your jurisdiction to use the Service on your own behalf. If you are a minor, you may use the Service only with the involvement and consent of a parent or legal guardian, who must agree to these Terms on your behalf and is responsible for your use of the Service.

4. Your content and license to us

You retain all rights to the presentations, notes, recordings, and other materials you upload ("User Content"). You grant Northquill a limited, worldwide, non-exclusive license to host, process, and transform your User Content solely to provide the Service to you — for example, to generate and store your videos. This license ends when you delete the content or close your account, except for standard backups that expire on a rolling basis.

You represent that you own or have the necessary rights to your User Content and that it does not infringe the rights of others.

5. Acceptable use

You agree not to use the Service to: upload content you do not have the rights to use; create unlawful, infringing, deceptive, or harmful content; impersonate others or clone a person's voice without permission; violate privacy or publicity rights; or attempt to disrupt, reverse engineer, or gain unauthorized access to the Service. We may suspend accounts that violate these Terms.

6. AI-generated output

The Service uses automated text-to-speech systems to generate narration audio from the script text you provide. Output may contain inaccuracies; you are responsible for reviewing the video before you publish or rely on it. As between you and Northquill, you own the video you generate from your User Content, subject to these Terms and any third-party materials you include.

7. Third-party materials

You are responsible for any third-party images, fonts, music, or trademarks in your decks. Ensure you have the rights to use them in a video.

8. Plans and payment

Paid plans are billed in advance on a recurring basis through our payment providers, Stripe and Coinbase Commerce. New paid subscriptions include a 7-day trial period: cancel within that window for a full refund. After the 7-day trial period ends, fees are non-refundable except where required by law or expressly stated. Cryptocurrency payments processed through Coinbase Commerce are confirmed on-chain and cannot be reversed once confirmed. We may change pricing with prior notice; changes apply to the next billing cycle. You can cancel at any time, effective at the end of the current period.

9. Intellectual property

The Service, including its software, design, and brand ("Northquill" and the Northquill logo), is owned by Northquill and protected by law. We grant you a limited, non-transferable right to use the Service under these Terms. All rights not granted are reserved.

10. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access if you breach these Terms or as needed to protect the Service. On termination, your right to use the Service ends and we may delete your content as described in the Privacy Policy.

11. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that output will meet your requirements.

12. Limitation of liability

To the maximum extent permitted by law, Northquill will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Where an issue with the Service cannot be resolved through reasonable manual intervention (such as re-rendering your video or correcting an account error), our total liability for any claim is limited to the amount you paid us for the Service in the 12 months before the event giving rise to the claim. If you have not paid us anything, we will not be liable for any monetary damages, and our sole obligation is to attempt to resolve the issue through reasonable manual intervention.

13. Indemnification

You agree to indemnify and hold Northquill harmless from claims arising out of your User Content, your use of the Service, or your violation of these Terms or any law or third-party right.

14. Governing law and disputes

These Terms are governed by the laws of the State of Washington, USA, without regard to conflict-of-laws rules.

Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration on an individual basis, rather than in court, except that either party may bring an individual claim in small claims court where that court has jurisdiction. You and Northquill each waive any right to a jury trial and to participate in a class action, class arbitration, or representative proceeding. Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, seated in Washington State. If this arbitration agreement is found unenforceable as to a particular claim, that claim (and only that claim) may be brought in the state or federal courts located in Washington State, which have exclusive jurisdiction over it.

15. Changes to these Terms

We may update these Terms from time to time. We will post the new effective date and, for material changes, provide additional notice. Continued use after changes take effect means you accept the updated Terms.
